Terms & Conditions

1. Scope

These Terms and Conditions (T&C) apply to all services provided by HR Excellence by De Filippo (hereinafter referred to as the “Provider”) to its clients (hereinafter referred to as the “Client”).
Any deviations must be agreed upon in writing.

2. Subject of the Agreement

The Provider offers services in the field of Human Resources, including in particular:

  •  operational HR support

  •  development and structuring of HR foundations

  •  advisory and support for leadership

The exact scope of services is defined in the individual offer, agreement, or selected service package.

3. Conclusion of Contract

A contract is concluded through:

  •  written acceptance of an offer

  •  confirmation via email

  •  or by implied conduct

4. Pricing and Payment Terms

All prices are stated in Swiss Francs (CHF), excluding applicable VAT (if applicable).

  • Ongoing mandates are invoiced monthly or in advance

  • Project-based services are billed either as a fixed fee or based on effort, as agreed

Payment term: 10 days net
In case of late payment, interest and administrative fees may be charged.

5. Hourly Rate

Additional services outside the agreed scope will be charged at an hourly rate of CHF 220.00, unless otherwise agreed.

6. Onboarding and Setup

A one-time onboarding and setup fee may be charged for the initial implementation and structuring of HR processes.

7. Scope of Services and Limitations

The Provider performs all services with due care and professionalism. No specific result is guaranteed.
Any services beyond the agreed scope will be charged separately.

8. Client Obligations

The Client agrees to:

  • provide all necessary information in a complete and timely manner

  • supply accurate and relevant documentation

Any delays resulting from missing or incomplete information are not the responsibility of the Provider.

9. Confidentiality

The Provider undertakes to treat all information received during the collaboration as strictly confidential.

This obligation remains in effect even after termination of the agreement.

10. Data Protection

The processing of personal data is carried out in accordance with the applicable Privacy Policy.

11. Liability

The Provider shall only be liable for damages caused by intentional or grossly negligent conduct.
Liability for:

  • indirect damages

  • consequential damages

  • loss of profit

is excluded to the extent permitted by law.

12. Duration and Termination

Ongoing Mandates
Minimum duration: 3 months
After the minimum term, the agreement may be terminated by either party with 1 month’s notice to the end of a calendar month.
Project-Based Services
End upon completion of the agreed project. The right to terminate for cause remains reserved.

13. Force Majeure

The Provider shall not be liable for delays or failure to perform due to events beyond its reasonable control (e.g. natural disasters, governmental actions, technical failures).

14. Electronic Communication

The Client agrees that communication, contracts, and invoices may be transmitted electronically and are legally binding.

15. Amendments

The Provider reserves the right to amend these T&C at any time.

16. Severability Clause

Should any provision of these T&C be invalid or unenforceable, the validity of the remaining provisions shall not be affected.

17. Governing Law and Jurisdiction

These T&C are governed exclusively by Swiss law.
The place of jurisdiction is the registered office of HR Excellence by De Filippo, unless otherwise required by law.
